A. To the accuracy of the

B. That the producer has the full right
to enter into this and other agreements and fully and freely grant each and all
of the rights that might be required;

C. To my holding ProductionConsulting.com and all those
involved in it, harmless from and defending them against all claims demands,
losses, costs, damages, judgments, liabilities and expenses (including
attorney's fees) arising out of or in connection with any and all claims of
third parties, whether or not groundless, and that the full use and
exploitation of the Property will not in any way infringe upon or violate any
right of any nature whatsoever of any third party, including without limitation,
copyrights, the right of privacy, the right of publicity and the right to be
free from defamation
D. There is no
claim, litigation or other proceeding threatened, pending or outstanding which
might in any way prejudice any of the rights granted or to be
granted;
E. Producer shall
defend, indemnify and hold Consultant harmless from any loss, cost, damage,
liability or expense (including reasonable attorney's fees) arising out of or in
connection with any breach by Producer of his/her respective representations,
claims, warranties and agreements herein.

| D. That I recognize that
ProductionConsulting.com and those involved in the company, may have access to,
and/or, may have created, or have commissioned, through some other independent
source, or may have otherwise acquired, literary materials and concepts, or
filmed material, similar to the material submitted hereunder, in theme idea,
plot, format, or in any other respect. I agree that I will not under such
circumstances, be entitled to any compensation, nor consideration of any kind,
through the use by ProductionConsulting.com of any material so acquired.
E. That ProductionConsulting.com will undertake
and carry out any specific agreed upon activities for the client, but that due
to the nature of the business, ProductionConsulting.com, cannot be held
responsible for the successful outcome of these
activities.

That the burden of obtaining copyright or otherwise protecting any proprietary
interests in the material rests entirely with me.
G. Consideration: In consideration for services
rendered, the following compensation has been agreed to by both parties and will
be paid as detailed herein:

The legality or illegality of any
parts of this agreement do not affect the legality or illegality of the other
parts, nor the validity of the contract.
This agreement is the entire
agreement between the parties hereto regarding, and there are no other
agreements or promises between the parties. This agreement may be modified but
only in writing, signed by both parties hereto.
This agreement shall be
governed by and subject to the laws of the state of California.
